This Agreement contains the complete terms and conditions that apply to your participation as a member of the "Software Pays" Program (the "Program") operated by Synergy DTI, Inc. . As used in this Agreement, "we" or "us" means Synergy DTI, Inc.; "you" or "your" means the applicant/participating member.

1. Spamming and Illegal Content
Spamming of any form is not permitted. You will not be paid if we get spam complaints. Do not allow links from password trading/hacking/warez sites, or any site that promotes or depicts beastiality, rape, torture, underage models or content, or any other illegal or unethical content. Spamming (email or newsgroups) is not allowed in any form. If you are caught using these techniques to promote our sites, you will be dropped from our partner program without warning, and any monies earned will be forfeited.

2. Relationship of Parties
You and Synergy DTI, Inc are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

3. Payment Schedule
You will receive checks from Synergy DTI, Inc once a month or payment through paypal upon request, just email support@softwarepays.com. Just email support. Checks are sent out on the 15th of the month for the previous months sales.

4. Modfication
We reserve the right to modify or cancel this program with notice within the webmaster section of this site.

5. Indemnification
You hereby agree to indemnify, defend and hold harmless Synergy DTI, Inc., its shareholders, officers, directors, employees, agents, affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expense (including attorneys' fees and costs) of any nature whatsoever incurred or suffered by us (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim or threatened claim that our use of the Affiliate Trademarks infringes on the rights of any third party; (ii) the breach of any representation or warranty made by you herein; or (iii) or any claim related to your site.

6. Cancel Accounts
We reserve the right to cancel accounts. Accounts producing fraudulant sales will be canceled immediately without notice. A webmaster may cancel their account at any time.

7. Right to Amend Agreement
Synergy DTI, Inc. and SoftwarePays.com reserves the right to amend this agreement at any time. Please check these terms for updates, we may not notify you. You are responsible for knowing these terms.
